1. About these terms
These Terms & Conditions apply to the use of eppzlimited.com and to services provided by EPPZ Limited ("EPPZ", "we", "us") to its clients ("you") when they are incorporated into a proposal or agreement accepted by both parties. If that accepted proposal or agreement contains different terms, it prevails.
2. Services
EPPZ provides marketing strategy, operations, and growth advisory services to e-commerce companies. The exact scope of each engagement is defined in a written proposal. We provide advice and recommendations. Decisions on whether and how to implement them remain yours, and implementation is carried out by you, your team, or third parties you choose.
3. Proposals and engagement
Each engagement starts with a written proposal describing the scope, deliverables, fees, and duration. A proposal is accepted when you confirm it in writing, by email or by signature. Any change to the scope must be agreed in writing by both parties.
4. Fees and payment
Fees are set out in the accepted proposal and are payable in US dollars. Invoices are issued by EPPZ Limited and are payable within the period stated on each invoice. We may pause work while an invoice remains unpaid after its due date. Third-party costs are not included in our fees unless the proposal says otherwise.
5. Your responsibilities
You agree to provide accurate information, timely answers, and the access we need to perform the services. You remain responsible for your business decisions, for the implementation of any recommendation, and for your compliance with the laws that apply to your business.
6. No guarantee of results
We apply our experience and best efforts to every engagement, but business performance depends on factors outside our control, including your product, pricing, team, market conditions, and how recommendations are implemented. We do not guarantee any specific result.
7. Intellectual property
Once all fees for the relevant work are paid, you may use the deliverables prepared for you under the proposal for your own business purposes. EPPZ keeps ownership of its pre-existing methods, processes, templates, and know-how.
8. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party during the engagement, and to use it only to perform or receive the services.
9. Limitation of liability
To the fullest extent permitted by law, EPPZ is not liable for any indirect or consequential damages, including lost profits or lost revenue. Our total liability for any claim related to the services is limited to the fees paid under the proposal that gave rise to the claim.
10. Termination
Either party may end an engagement as set out in the proposal. Fees for work performed up to the termination date remain due.
11. Use of this website
The content of this website is provided for general information only, without warranty of any kind. You may not use this website in any unlawful way. Reuse of its content requires our permission unless the law allows it.
12. Governing law
These terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute will be brought exclusively before the courts of Hong Kong, and each party consents to their jurisdiction.
13. Changes to these terms
We may update these terms by publishing a new version on this page. The version incorporated into your accepted proposal governs that engagement, and changes to it require both parties' written agreement.
